Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website at https://apiexpress.in, the APIs provided by API Express, and all related services (collectively, the "Services"). These Terms constitute a legally binding agreement between you (or the entity you represent, "you" or "Customer") and API Express ("we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.
1. Definitions
- "API" — Application Programming Interface provided by API Express
- "API Key" — Unique authentication credential issued to you for accessing our APIs
- "Customer Data" — Data you or your end-users submit through our APIs
- "Service" — Any API, tool, dashboard, or feature we provide
- "SLA" — Service Level Agreement governing uptime and support response times
- "End-user" — Any individual whose data you submit to our APIs
2. Account & Eligibility
2.1 Eligibility
To use our Services, you must:
- Be at least 18 years old
- Have the legal authority to enter into this agreement (for businesses, be an authorised representative)
- Not be prohibited from using our Services under any applicable law
- Provide accurate and complete information during signup
2.2 Account security
You are responsible for:
- Maintaining the confidentiality of your API keys and account credentials
- All activity that occurs under your account, whether or not authorised by you
- Notifying us immediately if you suspect any unauthorised access
2.3 Accurate information
You agree to keep your account information accurate and up to date. Providing false information — including false identity details during KYC — may result in immediate account termination.
3. License & Permitted Use
3.1 License granted
Subject to these Terms, API Express grants you a non-exclusive, non-transferable, revocable, limited license to access and use our APIs and Services for your internal business purposes and for integrating into your own products and services.
3.2 Permitted uses
You may use our Services to:
- Build products and features that integrate our APIs
- Process business operations that require our APIs (verification, real-time data, recharge, etc.)
- Resell value-added services that use our APIs as a component (e.g., a lending platform built on our KYC APIs)
- Use our Services for legitimate business, commercial, or internal purposes
3.3 Attribution
You are not required to attribute API Express in your product, unless required by specific APIs (some verification APIs have regulatory attribution requirements). Where attribution is required, it will be documented in the specific API's documentation.
4. Acceptable Use Policy
You agree NOT to use our Services to:
4.1 Illegal activity
- Violate any applicable law, regulation, or third-party right
- Facilitate money laundering, terrorism financing, or any criminal activity
- Process stolen identity, bank, or vehicle data
- Evade sanctions, export controls, or regulatory restrictions
4.2 Abuse of the Services
- Attempt to access accounts, data, or systems you are not authorised to access
- Reverse engineer, decompile, or attempt to derive the source code of our Services
- Use automated tools to scrape, crawl, or overload our infrastructure
- Resell or sublicense our APIs to third parties without a signed reseller agreement
- Bypass rate limits, quotas, or authentication mechanisms
4.3 Privacy violations
- Submit personal data of individuals who have not consented to its use
- Use our Services to spy on, harass, or harm any individual
- Process sensitive personal data without proper legal basis and safeguards
5. API Keys & Authentication
- API keys are issued to you upon account creation and are unique to your account
- You may generate multiple API keys for different environments or use cases
- You are solely responsible for keeping your API keys confidential
- API keys must not be embedded in client-side code (browsers, mobile apps) unless using a sandbox/test key
- We may revoke any API key at any time if we suspect misuse
- You must notify us immediately if an API key has been compromised
6. Payment Terms
6.1 Pricing
Pricing for our Services is published on our pricing page. We may change pricing with 30 days' notice. Price changes do not apply retroactively to services already rendered.
6.2 Billing cycle
- Pay-as-you-go accounts — Billed monthly for usage in arrears
- Subscription plans — Billed monthly or annually in advance
- Enterprise accounts — Billed per the terms of your enterprise agreement
6.3 Payment methods
We accept UPI, net banking, credit/debit cards, and NEFT/RTGS for enterprise accounts. All invoices are GST-compliant.
6.4 Late payment
Invoices are due within 15 days of issue. Overdue accounts may be:
- Charged interest at 1.5% per month on outstanding amounts
- Suspended after 30 days of non-payment
- Referred to collections after 60 days of non-payment
6.5 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes arising from your use of our Services (excluding taxes on our net income). GST will be added to invoices at the applicable rate.
7. Service Level Agreement (SLA)
7.1 Uptime commitment
We commit to 99.9% monthly uptime for all API endpoints. Uptime is calculated as:

7.2 Exclusions from SLA
The SLA does not apply to downtime caused by:
- Scheduled maintenance (with 72 hours' advance notice)
- Force majeure events
- Your misuse of the Services or exceeding rate limits
- Upstream data source outages (VAHAN, UIDAI, NPCI, bank systems, etc.)
- Internet or network issues outside our infrastructure
7.3 SLA credits
If we fail to meet the uptime SLA, you may be eligible for service credits:
- 99.0% – 99.9% — 10% of monthly fee credited
- 95.0% – 99.0% — 25% of monthly fee credited
- Below 95.0% — 50% of monthly fee credited
Credits must be requested within 30 days of the SLA breach. Credits are applied to future invoices and are not refundable in cash.
8. Data Ownership & Processing
8.1 Your data
You retain all rights to your Customer Data. We do not claim ownership of any data you submit through our APIs.
8.2 Processing role
For Customer Data submitted by you on behalf of your end-users:
- We act as a Data Processor on your behalf
- You act as the Data Fiduciary for your end-users
- We process Customer Data solely to provide the Services you request
- We do not use Customer Data for our own purposes beyond providing the Service
8.3 Data retention
We retain Customer Data only as long as necessary to provide the Services and comply with legal obligations. See our Privacy Policy for detailed retention periods.
8.4 Your compliance obligations
You are responsible for:
- Obtaining all necessary consents from your end-users before submitting their data to our APIs
- Complying with all applicable data protection laws (DPDP Act, RBI KYC, IRDAI, etc.)
- Ensuring your end-users are informed about how their data will be used
- Providing data rights (access, correction, deletion) to your end-users
9. Intellectual Property
9.1 Our IP
All intellectual property rights in our Services — including our APIs, documentation, code, trademarks, and infrastructure — are owned by API Express. These Terms do not grant you any rights to our intellectual property except as expressly stated.
9.2 Your IP
You retain all rights to your own intellectual property, including your products, code, and brands. Nothing in these Terms transfers any of your IP to us.
9.3 Feedback
If you provide feedback or suggestions about our Services, we may use it without obligation to you. We will not publicly attribute feedback without your permission.
10. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services. This obligation does not apply to information that:
- Was already publicly known at the time of disclosure
- Becomes publicly known through no fault of the receiving party
- Was independently developed without reference to the confidential information
- Must be disclosed by law or regulatory requirement (with notice to the other party where possible)
11. Warranties & Disclaimers
11.1 Our warranties
We warrant that:
- We will provide the Services with reasonable skill and care
- The Services will materially conform to their published documentation
- We have the legal right to provide the Services
11.2 Disclaimers
EXCEPT AS EXPRESSLY STATED ABOVE, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Services will be uninterrupted or error-free
- Data returned by the APIs will be 100% accurate (data is sourced from third-party systems)
- Your specific use case will achieve specific results or outcomes
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
12.1 Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising from these Terms or the Services.
12.2 Our total cumulative liability to you for all claims arising from these Terms or the Services will not exceed the greater of (a) the amounts you paid to us in the 12 months preceding the claim, or (b) ₹50,000.
12.3 These limitations do not apply to:
- Your payment obligations
- Either party's indemnification obligations
- Breach of confidentiality or intellectual property rights
- Gross negligence or wilful misconduct
13. Indemnification
13.1 Your indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including legal fees) arising from:
- Your use of the Services in violation of these Terms
- Your Customer Data (including claims that it violates third-party rights)
- Your violation of any applicable law
- Claims by your end-users or customers
13.2 Our indemnification
We agree to indemnify you from claims that our Services infringe third-party intellectual property rights, provided you promptly notify us and give us control of the defence.
14. Termination
14.1 Termination by you
You may terminate your account at any time from your dashboard. No further charges will be incurred after termination, subject to payment of outstanding amounts.
14.2 Termination by us
We may terminate or suspend your account:
- Immediately for violation of the Acceptable Use Policy
- With 30 days' notice for any other reason
- Immediately if required by law or regulatory authority
14.3 Effect of termination
- Your right to access the Services ends immediately on termination
- You remain liable for all fees accrued before termination
- Provisions that by their nature should survive termination will survive (including confidentiality, IP, liability limitations, and dispute resolution)
15. Modifications to Terms
We may update these Terms from time to time. When we do:
- The "Last updated" date will change
- Material changes will be notified via email at least 30 days in advance
- Continued use of the Services after changes constitutes acceptance
- If you do not accept the changes, you may terminate your account before they take effect
16. Governing Law & Disputes
16.1 Governing law
These Terms are governed by the laws of India, without regard to its conflict of law principles.
16.2 Dispute resolution
Disputes arising from these Terms will be resolved through:
- Good-faith negotiation — Direct discussion between senior representatives for 30 days
- Mediation — Non-binding mediation in Bangalore, India
- Arbitration — Binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement. The seat of arbitration is Bangalore, India. The language is English.
16.3 Jurisdiction
Subject to the arbitration provisions above, the courts of Bangalore, India have exclusive jurisdiction over matters arising from these Terms.
17. General Provisions
17.1 Entire agreement
These Terms, together with our Privacy Policy and any enterprise agreement, constitute the entire agreement between us and supersede all prior agreements.
17.2 Assignment
You may not assign these Terms without our written consent. We may assign them to a successor entity in a merger, acquisition, or asset sale.
17.3 Severability
If any provision is found unenforceable, the remaining provisions remain in full force. The unenforceable provision will be replaced with a valid provision that best reflects the original intent.
17.4 Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.
17.5 Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control — including natural disasters, war, government actions, internet outages, and third-party service failures.
